Our Board committees

The Board is supported in its assurance and oversight of the organisation by six committees, each chaired by a non-executive director.

The Shareholder Director is supported by nominated individuals in certain committees. The names of these individuals can be found in the Annual Report & Accounts.

The Board delegates certain functions to these committees. This allows the Board to spend a significant proportion of its time on strategic decision-making, whilst obtaining proper assurance that decisions across the organisation have been made effectively and based on the correct information. Furthermore, it enables non-executive directors to share their expertise more widely with the Executive and Senior Management Team.

Our governance structure

To ensure we take the right steps as an organisation, our Board and committees oversee the work that we do. They are responsible for making sure we work efficiently, identify and manage risks and meet our legal obligations.

NHS Property Services Board

The Board consists of the organisation’s senior management team and external stakeholders who together oversee how the business operates. The Board:

  • is responsible for the organisation’s day-to-day operations including setting the strategic direction and operational budget (for approval) of the organisation
  • provides leadership to the organisation
  • ensures the organisation has appropriate governance for effective decision making
  • ensures compliance with laws and directs the organisations financial practices and reporting
  • oversees the process of external disclosure and communications
  • oversees the executive team including appointments and performance
  • provides support for improving customer relationships with the organisation
  • is accountable to the Secretary of State for Health, who is the sole Shareholder of NHS Property Services
  • is accountable to its stakeholders including its employees, government authorities, customer, suppliers, the NHS and members of the public.

The lead Executive Director is the Chief Executive Officer.

Asset and Investment Committee

The purpose of the Committee is to oversee all aspects of asset and investment policy, strategic approach and execution, within the boundaries established in the Company’s strategic business plans and to make recommendations to the Asset Management Directorate and the Board. The Committee meet at least quarterly and members are at least two non-executive directors, the CEO, Director of Asset Management, Head of Investment Management and the Head of Property Manager.

Audit and Governance Committee

The purpose of the Committee is to oversee the Company’s audit, governance, risk, and finance processes and strategic approach and execution. The Committee shall support the Board and shareholder by reviewing the comprehensiveness and reliability of assurances on governance, risk management, health and safety, the control environment and the integrity of financial statements and the annual report. The scope of work, as defined within the terms of reference encompass all the assurance needs of the Board and shareholder, and in so doing will engage with the work of internal audit, risk management, health and safety management, the external auditor and financial management and reporting issues. The Committee meet at least quarterly, and all members are non-executive directors.  The Chair of the Board is not a member of this Committee.

Customer, Partnering & Relationship Committee

The purpose of the Customer, Partnering & Relationship Committee is to set the strategic direction and oversee the approach of customer engagement.  The duties of the Committee will be driven by the priorities of NHS Property Services as identified by the Board, and the associated risks.  It will operate to a programme of business, which will be flexible to new and emerging priorities and risks. The Committee will meet quarterly each financial year, unless additional meetings are requested by the Board.  Members are at least two non-executive directors, the Chief Executive Officer, Director of Customer Services and Communications, Chief Operating Officer and the Director of Asset Management.

Facilities Management Committee

The purpose of the Committee is to oversee facilities management strategy and policies approved by the NHS Property Services Limited Board and the strategic approach and execution. The Committee meet at least quarterly, and members are at least two non-executive directors, the Chief Executive Officer and the Chief Operating Officer.

Nominations Committee

The purpose of the Committee is to lead the process for board appointments, the strategic approach and execution, and make recommendations to the Board. The duties of the Committee will be driven by the priorities of the Company, as identified by the Board and the associated risks.  The Committee meet as frequently as determined to be necessary to discharge its duties, and the members are independent non-executive directors and the Shareholder Director.

Remuneration Committee

The purpose of the Committee is to make recommendations to the Board on all aspects and policy of the individual remuneration packages of the Chair, Executive Directors, and other Senior Managers; review the strategic approach and execution, approve the overall remuneration framework for NHS Property Services Ltd, and remuneration policy.  In doing so, the Committee must consider the workforce remuneration, alignment of incentives and rewards with culture. The Committee meets as frequently as it determines to be necessary to discharge its duties, and the members are a majority of independent non-executive directors, the Shareholder Director and Chief Executive Officer.
